TERMS AND CONDITIONS OF SERVICE
Master Platform Agreement & Operating Framework
Effective Date: January 1, 2025
Operating Entity: Hol-hub Technologies
Platform Domain: Learnly-pro Educational Infrastructure
1. Introduction & Acceptance of Terms
1.1 Platform Definition
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Hol-hub Technologies ("Company", "We", "Us", or "Our"), governing your access to and use of the Learnly-pro platform, including any associated software applications, mobile interfaces, live classroom infrastructure, and digital services (collectively, the "Platform").
1.2 Binding Acceptance Across Roles
By accessing, registering for, browsing, or utilizing any portion of the Platform, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms, alongside our Privacy Policy and Community Guidelines. This Agreement applies universally to all classes of users, including without limitation:
- Parents & Legal Guardians managing family units and sub-profiles.
- Students accessing educational content, whether as independent adult learners or authorized minor dependents.
- Teachers & Instructors delivering live synchronous instruction or asynchronous content.
- Academy Owners & Institutions operating multi-tenant sub-organizations within the Platform.
- Administrative & Operational Staff executing compliance, moderation, or financial workflows.
If you do not agree to every provision contained within these Terms, you are expressly prohibited from accessing or using the Platform, and you must immediately terminate any active sessions or registration processes.
2. User Accounts, Identity Normalization & WhatsApp Verification
2.1 One Real Individual Policy (E.164 Standard)
To ensure absolute institutional integrity, prevent fraudulent multi-accounting, and enforce child protection mechanisms, Learnly-pro mandates a strict One Real Individual Per Account identity architecture. Every master account registered on the Platform must be anchored to a unique, globally valid telephone number formatted strictly in accordance with the International Telecommunication Union (ITU) E.164 standard (e.g., +[country code][subscriber number]).
2.2 Mandatory Inbound WhatsApp Verification Workflow
Account activation and authentication are conditioned upon successful verification via our official zero-trust inbound verification pipeline:
- Initiation: Upon inputting an E.164 compliant phone number, the Platform generates a cryptographically signed, time-bound verification payload.
- Inbound Challenge: The user must dispatch this verification payload via WhatsApp to the designated official Learnly-pro corporate channel: +92 340 9190021.
- Validation: Registration or login authorization is granted solely upon receipt and cryptographic validation of the inbound payload by our automated gateway. Outbound SMS fallback is strictly restricted and deployed at the sole discretion of the Super Admin console.
2.3 Multi-Tenant Role Separation & Identity Architecture
The Platform decouples a user's Global Identity from their Institutional Memberships:
| **Architectural Layer** | **Scope & Functionality** |
| **Global Identity** | Unique personal record tied to verified E.164 credentials, central wallet ledger, security logs, and cross-platform authentication parameters. |
| **Membership Context** | Role-based authorization layers scoped to specific Academies (e.g., "Teacher in Academy A", "Parent in Academy B", "Academy Owner in Entity C"). |
Users may hold multiple Membership Contexts under a single Global Identity without violating the single-account policy. Creation of duplicate Global Identities using distinct phone numbers by the same physical individual constitutes material breach of contract, resulting in immediate termination of all associated accounts.
3. Child Safety & Minor Account Protection
3.1 Strict Minor Protection Framework (Under Age 16)
Learnly-pro imposes rigid technological and procedural safeguards to protect minor users:
- Prohibition of Standalone Minor Accounts: Natural persons under sixteen (16) years of age ("Minors") are strictly prohibited from creating, owning, or maintaining independent master accounts.
- Parental Sub-Profile Architecture: All educational interactions involving Minors must occur through a Managed Sub-Profile provisioned directly beneath a verified Parent or Legal Guardian’s master account.
- Legal Responsibility: The adult owner of the master account retains full legal and financial responsibility for all actions, communications, content consumption, and contract acceptances performed via sub-profiles attached to their account.
3.2 Dual-Mode Class Launching & Supervisory Controls
Parents and Legal Guardians are provided with specialized real-time interface modes within the dashboard to govern classroom interactions:
- [Start Class as Child] Mode: Spawns a sandboxed, restricted LiveKit classroom instance tailored for the student. In this mode, social mechanics, private messaging, personal profiles, and external link interactions are fully disabled.
- [Observe Mode] Launch: Enables the Parent or Legal Guardian to join an ongoing live session as a silent, non-intrusive auditor. "Observe Mode" audio/video feeds from the Parent are muted by default to preserve pedagogical continuity while offering complete real-time transparency into teacher-student dynamics.
4. Trial Classes Policy & Anti-Circumvention Rule
4.1 Free Trial Class Guarantee
To ensure educational compatibility, Learnly-pro enforces a "Pay Only After Satisfaction" framework for initial engagements. Users are entitled to sample live instructional capabilities under structured trial conditions before any financial settlement is finalized from escrow.
4.2 The 7-Day Single Teacher Policy
To eliminate platform abuse, infinite free trial loops, and instructor exploitation, the following rule is programmatically enforced across all tenants:[Student Engagement Request]
│
▼
[Is Trial Active with Teacher X?]
│
├── YES ──► \[Days elapsed \<= 7?\] ──► YES ──► \[Allow Free Session\]
│ │
│ └── NO ───► \[MUST CONVERT TO PAID OR REASSIGN\]
│
└── NO ───► \[Assign New Teacher / Initiates New 7-Day Window\]
- Duration Cap: A student is strictly permitted a maximum period of seven (7) calendar days of trial interactions with any single individual instructor ("Teacher X").
-
Mandatory Conversion or Reassignment: Upon the expiration of the 7-day window following the initial trial session with Teacher X, the student must either:
- Convert to a paid recurring subscription or paid package with Teacher X; or
- Request a reassignment through the system.
- Academy Reassignment Obligation: If additional trial sessions are demanded by the user, the Academy or Platform must reassign the student to a different verified instructor. Under no circumstances may a student receive unpaid instructional time from the same teacher beyond the 7-day boundary.
4.3 Central Unlinked Lead Allocation & Marketplace Rules
- Super Admin Marketplace Allocation: Inbound organic trial requests and unlinked prospective leads entering the global platform are pooled within a central distribution engine.
- Algorithmic Matching: Leads are allocated dynamically to verified Academies and Instructors based on performance metrics, response latencies, subject expertise, and availability.
- Anti-Sniping Safeguards: Academies and Instructors are strictly prohibited from re-routing allocated central leads outside the Learnly-pro platform ecosystem. Any attempt to siphon leads to third-party communication channels during the trial phase triggers immediate lead revocation and financial penalties.
5. Live Classroom Infrastructure & Conduct Rules
5.1 Real-Time Infrastructure (LiveKit SFU)
Live sessions on Learnly-pro are powered by dedicated LiveKit Selective Forwarding Units (SFU), optimized for low-latency video, audio, screen sharing, and interactive canvas synchronization. Users agree not to launch denial-of-service attacks, reverse-engineer WebRTC signaling streams, or attempt packet interception against the SFU infrastructure.
5.2 The 10-Minute Boundary Rule
Classroom state machinery adheres strictly to automated temporal boundaries:[T - 10 Mins] ──► Room Opens (Pre-class Stage / Device Checks) [T - 00 Mins] ──► Scheduled Session Start Time [T + End] ──► Scheduled Session Conclusion [T + 10 Mins] ──► Room Terminated / LiveKit WebRTC Session Destroyed
- Pre-Class Buffer: Classroom instances spawn exactly 10 minutes prior to the scheduled start time, enabling instructors and students to verify media pipelines, upload instructional assets, and perform audio/video hardware checks.
- Post-Class Buffer: Rooms remain active for exactly 10 minutes post-scheduled end time to allow session wrapping and summary notes. At $T+10$ post-end, the room controller automatically executes a hard disconnect, terminates WebRTC peer connections, and triggers downstream log aggregation.
5.3 Safe Rejoining & Telemetry Logging
To maintain precise record-keeping for billing, dispute resolution, and attendance auditing, the platform logs granular real-time telemetry:
- Event State Tracking: The SFU server logs timestamped events including client_join, voluntary_leave, network_disconnect, reconnect_attempt, and forced_expulsion.
- Offline Duration Tracking: If a participant disconnects due to transient network failure, the system tracks the cumulative offline duration. If cumulative instructor offline time exceeds 15% of total scheduled class duration, the session may be flagged for partial credit refunding or mandatory make-up scheduling.
5.4 Zero-Intrusion Policy
Learnly-pro guarantees an uninterrupted learning environment. The injection of third-party ad networks, programmatic display banners, pop-up promotions, or affiliate marketing material inside the live classroom UI is strictly prohibited. The classroom interface remains dedicated exclusively to instructional materials, collaborative whiteboards, and pedagogical tools.
6. AI Safety Monitoring, Content Filtering & Prohibited Conduct
6.1 Real-Time AI Contact Masking Engine
To uphold child safety standards and enforce platform integrity, all text chats, file attachments, transcription buffers, and shared whiteboards are filtered in real-time by our automated AI Content Safety & Pattern Interception Engine.
-
Regex & Semantic Interception: The system automatically masks, redact, or blocks messages containing patterns matching:
- E.164 and localized phone number formats.
- WhatsApp direct chat links (wa.me, api.whatsapp.com).
- Email addresses, social media handles (Instagram, Telegram, Snapchat, Facebook, etc.).
- External payment links (PayPal, Venmo, local banking details).
- Automated Strike System: Transmitting off-platform contact vectors triggers an automated administrative strike. Three (3) strikes within a 90-day window result in automatic account lock out and review by compliance officers.
6.2 Prohibited Conduct Zero-Tolerance Framework
Users shall not, under any circumstances, engage in:
- Harassment & Hate Speech: Any language, graphic, or behaviour that is abusive, racist, discriminatory, defamatory, sexually explicit, or violent.
- Off-Topic Solicitation: Promoting commercial services, religious proselytization, political campaigning, or unauthorized surveys during instructional periods.
- Exploitation of Minors: Any action violating child protection laws will result in immediate permanent ban, forfeiture of account balances, and direct referral to national and international law enforcement agencies.
6.3 Quality Assurance & Audio/Video Recording Notice
For safety, regulatory compliance, teacher training, and dispute resolution, all live classroom sessions may be recorded, transcribed, and analyzed by AI monitoring systems. By participating in a live session, users grant Hol-hub Technologies an irrevocable, worldwide, royalty-free license to capture, store, and process session media in accordance with our data retention policies.
6.4 Class Recording Retention (Default 3 Days)
Default rule: Class recordings are kept for three (3) calendar days after the session ends, then automatically deleted from platform storage. This default protects students and parents from long-term misuse of video.
Academy choice: An Academy Owner or authorized Academy Admin may choose to keep or save specific class recordings for longer than three (3) days inside their academy (for example for quality review, training, or disputes). That longer retention is under the academy's control and responsibility. Teachers and students cannot override the default to keep recordings forever on their own.
Easy note: For students and parents, the normal path is: watch for a few days, then the video is gone. If an academy needs a recording longer, only that academy's owner/admin can keep it.
Flagged safety clips needed for child protection, abuse investigation, or legal hold may be retained as required by law and Section 3 (Child Protection) of these Terms, even when the full class recording would otherwise expire.
7. Financial Architecture, Invoicing & Escrow
7.1 Merchant of Record (MoR) & Safepay Escrow Integration
Hol-hub Technologies operates as the legal Merchant of Record (MoR) for all financial transactions processed on Learnly-pro. Payments are processed via integrated banking gateways and regulated payment aggregators including Safepay.
- Escrow Holding: Student tuition payments are held in secure platform escrow accounts upon transaction authorization.
- Earning Release: Funds are released from escrow to Academy or Teacher balances only upon verified completion of scheduled instructional units or expiration of applicable dispute windows.
7.2 Approved Payment Vectors
The platform accepts payments exclusively through integrated, PCI-DSS compliant routes:
- Credit / Debit Card rails (Visa, Mastercard, UnionPay).
- State Bank of Pakistan (SBP) regulated Raast instant payment system.
- Direct Interbank Funds Transfer (IBFT) verified via automated bank statement matching algorithms.
7.3 Settlement Cycles, Commission Splits & Automated Payouts
[Student Payment] ──► [Safepay Escrow] ──► [Class Execution Verified]
│
▼
[Academy Payout (Net)] ◄── [T+2 Settlement] ◄── [Split Engine: Fee deducted]
- T+2 Settlement Standard: Platform earnings become eligible for disbursement two (2) business days ($T+2$) following successful class verification, subject to fraud prevention sweeps.
- Platform Commission Split: Learnly-pro automatically deducts its platform service fee (as defined in the specific Academy service contract) at the point of escrow release before transferring net balances to the Academy or Instructor payout wallet.
- Automated Bank Disbursement: Disbursed balances are transferred directly to verified IBFT bank accounts registered under the verified legal title of the Academy or Instructor. Third-party bank payouts are rejected.
7.4 Invoicing, Tax Compliance & Dispute Handling
- Automated Invoicing: System-generated digital invoices are issued immediately upon successful transaction processing, detailing VAT/GST, platform fees, and base tuition costs.
- Dispute Window: Chargeback or refund disputes must be raised through the Learnly-pro Resolution Center within fourteen (14) days of session execution. Unilateral bank chargebacks initiated without prior platform dispute logging constitute a breach of contract and result in immediate frozen status across associated master accounts.
- Student Platform Service & Processing Fee: Learnly-pro may apply a nominal platform service fee / technology fee to student tuition invoices to cover server infrastructure, LiveKit SFU bandwidth, and security maintenance.
- Currency Conversion & FX Spread Margin for Academies: When tuition is paid in international foreign currencies (USD, GBP, AED, EUR, SAR, etc.) by overseas parents and settled to academies/tutors in local currency (PKR), Learnly-pro applies a standard currency conversion margin / FX spread on the prevailing interbank rate to account for forex volatility, international gateway processing, and banking settlement overheads.
- Chargeback & Payment Dispute Protection: If an overseas cardholder initiates an unauthorized bank chargeback, the disputed sum will be placed on escrow hold pending proof of attendance.
8. Non-Solicitation & Platform Protection
8.1 Strictly Enforced Non-Circumvention
Users acknowledge that Hol-hub Technologies invests substantial capital, technological resources, and operational expense into acquiring leads, hosting low-latency live video infrastructure, and facilitating educational contracts.
- Direct Engagement Ban: Instructors, Academies, Students, and Parents are strictly prohibited from soliciting, offering, accepting, or facilitating direct private educational contracts or off-platform payment arrangements outside of Learnly-pro.
- Non-Solicitation Period: This restriction remains active during any user's registration with the Platform and for a period of twelve (12) months following the termination of such user's account.
8.2 Consequences of Off-Platform Circumvention
If a user, Academy, or Instructor breaches Section 8.1:
- Immediate Account Termination: Complete and permanent revocation of access to all Learnly-pro services, sub-domains, and global identity profiles.
- Escrow & Wallet Forfeiture: Total, non-refundable forfeiture of all pending earnings, unreleased escrow funds, and store credits to liquid damages compensation.
- Contractual Penalty Fee: Hol-hub Technologies reserves the right to pursue liquidated damages equal to PKR 500,000 (or equivalent in local currency) per circumvention event, alongside legal recovery costs under the Contract Act 1872.
9. Intellectual Property & Digital Library
9.1 Platform IP
The Learnly-pro logo, software codebase,LiveKit integration frameworks, database schemas, proprietary AI filtering algorithms, user interface designs, and official brand assets are the exclusive intellectual property of Hol-hub Technologies. Nothing in these Terms grants users any ownership rights or licensing privileges over platform assets, except for the non-exclusive, non-transferable right to access the UI during active account status.
9.2 Content Uploads & User Digital Library
- Ownership: Instructors and Academies retain legal ownership of original educational slides, PDFs, video recordings, and worksheet assets uploaded to their private digital library.
- Operational License: By uploading content, the user grants Hol-hub Technologies a non-exclusive, worldwide, royalty-free license to stream, host, transcode, display, and distribute said assets for the sole purpose of delivering instructional sessions to authorized students.
9.3 Digital Content Marketplace Revenue Split
Where an Instructor or Academy opts to publish, rent, or sell digital learning materials, courses, or assessment instruments through the public Learnly-pro Digital Marketplace, financial returns are governed by our standard automated revenue-share model:┌─────────────────────────────────────────────────────────┐ │ Marketplace Gross Sales Volume │ └────────────────────────────┬────────────────────────────┘
│
┌────────────────┴────────────────┐
▼ ▼
┌───────────────────────┐ ┌───────────────────────┐ │ 70% Content │ │ 30% Platform │ │ Creator Portion │ │ Operational Fee │ │ (Settled T+2) │ │ (Learnly-pro) │ └───────────────────────┘ └───────────────────────┘
- Creator Allocation: Seventy Percent (70%) of gross transaction value (net of payment processing fees and applicable localized indirect taxes) is credited directly to the Content Creator's wallet balance.
- Platform Allocation: Thirty Percent (30%) of gross transaction value is retained by Learnly-pro to cover platform storage, bandwidth, transactional security, and marketplace maintenance.
10. Account Termination, Governing Law & Dispute Resolution
10.1 Immediate Suspension Triggers
Hol-hub Technologies reserves the right to immediately suspend, isolate, or permanently destroy any user account, tenant sub-domain, or global identity record without prior notice upon the occurrence of any of the following triggers:
- Breach of Child Safety frameworks, direct minor outreach, or bypass of parental sub-profiles.
- Systematic bypass of E.164 phone verification or maintenance of fraudulent multi-accounts.
- Circumvention of the financial gateway, off-platform solicitation, or cash-in-hand arrangements.
- Use of offensive, discriminatory, or harassing conduct during live sessions or within platform messaging channels.
- Execution of reverse-engineering scripts, security probing, or network disruption vectors against LiveKit SFU infrastructure.
10.2 Regulatory Alignment & Legal Framework
This Agreement, its interpretation, performance, and enforcement are strictly structured in compliance with the laws of the Islamic Republic of Pakistan, including but not limited to:
- The Contract Act, 1872: Governing contract validity, obligations, breach parameters, and liquidated damage enforceability.
- Prevention of Electronic Crimes Act (PECA) 2016: Governing network misuse, identity theft, unauthorized system access, and digital content violations.

10.3 Formal Dispute Resolution Procedure
- Informal Negotiation: Prior to initiating formal litigation, the parties agree to attempt to resolve any dispute through good-faith, informal negotiations by serving a formal written Notice of Dispute to legal compliance at Hol-hub Technologies.
- Arbitration: If informal negotiations fail to resolve the dispute within thirty (30) business days of receipt of said Notice, the dispute shall be referred to and finally resolved by binding arbitration under the rules of the Arbitration Act 1940. The seat of arbitration shall be Islamabad, Pakistan, and proceedings shall be conducted in the English language.
11. Data Collection, Telemetry & Service Improvement
11.1 Data Collection for Quality & Service Enhancement
Learnly-pro is explicitly permitted to collect and process platform usage data, classroom telemetry (connection latency, disconnect events, audio/video packet loss, device types), attendance logs, and anonymized interaction patterns to deliver low-latency classroom experiences and maintain institutional quality.
11.2 AI Model Training & Safety Benchmark Enhancement
Telemetry and anonymized audio/text transcription logs may be utilized strictly to benchmark and improve automated safety classifiers, AI monitor models, and quality assurance algorithms. No sensitive personal student identification is sold or exposed to third parties.
12. Operational Policies, Decorum & Liability
12.1 User Hardware & Internet Connectivity Responsibility
Users (tutors and students) are solely responsible for securing stable internet (minimum recommended 2 Mbps) and working audiovisual hardware. Server uptime is guaranteed, but local ISP disruptions do not constitute grounds for platform compensation.
12.2 Late Arrival & No-Show Policy
